1. Relationship. Coach will provide 1:1 Voxer Support to Client. Client understands and agrees that results are not guaranteed.

Client will receive Monday - Friday Voxer support.

2. Fees. Client will pay Coach according to the terms set out on their invoice. Please note that monthly payments will automatically deduct the amount from the account information Client provides.

In the event the payment fails, the relationship will be suspended and Client will not be able to access any of the information or content sold through Leticiajcollins.com or any other of Coach’s courses, products or services. In the event of three failed payments, Client understands that Coach may contract a collection agency to collect the outstanding payment from Client. To continue the programme and regain access to any courses, products or services, Client must pay ALL past due payments in full. Upon successful payment, access will be re-granted.
By signing up for the payment plan, Client agrees to pay the full balance owing of the payment plan.

3. Term and Termination. Consultant shall provide 1:1 Support to the Client from the date of the first payment.

4. Independent Contractor. Coach’s relationship with the Client will be that of an independent contractor and not that of an employee. Coach shall be solely responsible for determining the method, details and means of performing the Services.

5. Intellectual Property Rights. Client acknowledges that all of Coach’s digital materials created are the sole property of Coach, protected by Copyright, Trademark, Patent, and Trade Secret laws. All of Coach’s digital materials are designed for personal use only and may not be reproduced, shared, copied, modified or sold to anyone else.

6. Communication Guidelines. Communication will occur daily Monday through Friday. Coach will check Voxer a minimum of 3 times per day. Client will always receive a reply within a maximum of one business day.

Coach will not respond on weekends or outside of office hours, unless otherwise agreed. Client is welcome to message Coach during this time, although must note that Coach will not respond over the weekend.

(a) Scheduling & Rescheduling In the event that Coach is unavailable during office hours due to a scheduled event or unforeseen circumstance, Coach will notify Client with as much advance notice as possible. The time that is missed will be made up either on a weekend or added to the end of Client’s contract. This will be determined via mutual agreement.

7. Testimonials. Coach reserves the right to share Client’s wins and successes whilst working together. Client agrees to waive the right to anonymity and any testimonials including unofficial testimonials and words of praise via Instagram stories, public Facebook posts or posts inside Facebook groups, and direct messages with Coach have the potential to be used on Coach’s marketing materials and/or any promotional efforts.

If, for any reason, Client would like to remain anonymous, Coach will cover Client’s name and image.

8. Miscellaneous.

(a) LIMITATION OF LIABILITY. IN NO EVENT SHALL THE CONSULTANT HAVE ANY LIABILITY TO CLIENT FOR ANY LOST PROFITS, LOSS OF USE, BUSINESS INTERRUPTION, COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, MULTIPLE, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES HOWEVER CAUSED AND, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY, WHETHER OR NOT THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE; AND IN NO EVENT SHALL THE CONSULTANT’S LIABILITY EXCEED THE FEES PAID UNDER THIS AGREEMENT, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY. THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

(b) Indemnification. Client agrees to defend, indemnify, and hold harmless the Coach, its affiliates, licensors, service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable lawyer fees) arising out of or relating to this Agreement.

(c) Governing Law. The validity, interpretation, construction and performance of this Agreement, and all acts and transactions pursuant hereto and the rights and obligations of the parties hereto shall be governed, construed and interpreted in accordance with the laws of England and Wales, without giving effect to principles of conflicts of law.

(d) Entire Agreement. This Agreement sets forth the entire agreement and understanding of the parties relating to the subject matter herein and supersedes all prior or contemporaneous discussions, understandings and agreements, whether oral or written, between them relating to the subject matter hereof.

(e) Amendments and Waivers. No modification of or amendment to this Agreement, nor any waiver of any rights under this Agreement, shall be effective unless in writing signed by the parties to this Agreement. No delay or failure to require performance of any provision of this Agreement shall constitute a waiver of that provision as to that or any other instance.
